Terms and Conditions – AMERICAN IRON TRANSPORT LLC

Effective Date: 08/02/2025

1. Scope & Acceptance

By engaging AMERICAN IRON TRANSPORT LLC ("Broker") for transportation brokerage services, the customer ("Shipper," "Customer," "You") acknowledges and agrees to be bound by these Terms and Conditions. These terms prevail over any contradictory provisions presented by the Customer, unless explicitly agreed in writing.

2. Brokerage Services

Broker acts solely as a logistics intermediary and is not a motor carrier. Broker arranges transportation with third-party Carriers that are properly authorized and insured. The Broker does not assume control over carriers’ operations, vehicles, schedules, equipment, or personnel.

3. Shipment Tender & Carrier Selection

  • Shipper may offer shipments as needed, and Broker reserves the right to accept or decline such shipments.

  • Broker selects Carriers based on legal authority, safety standards, and insurance coverage.

  • Shipper is solely responsible for the correct classification, labeling, packaging, and documentation of goods. Broker is not liable for any errors or acts committed by the Carrier.

4. Rates & Payments

  • Shipper agrees to pay all agreed freight charges, accessorial fees, and any additional charges that arise due to changes in the shipment or delays.

  • All rates must be confirmed in writing.

  • Payment terms are net [15/30] days from the invoice date unless otherwise agreed.

  • Any disputed charge must be reported within [10] days. Undisputed amounts must not be withheld.

5. Liability & Claims

  • Broker is not liable for cargo loss, damage, or delay unless it is the result of its own proven negligence.

  • All cargo claims must be filed directly with the Carrier within the applicable claim window.

  • Broker may assist with filing the claim, but is not responsible for the outcome.

  • Broker’s liability, if any, is limited to the amount of its fee for the specific transaction.

6. Force Majeure

Broker shall not be held responsible for any delays or inability to perform services due to events beyond its control, including but not limited to natural disasters, extreme weather, government actions, labor disputes, mechanical breakdowns, or other acts of God.

7. Indemnification

Shipper agrees to indemnify and hold harmless AMERICAN IRON TRANSPORT LLC from all claims, liabilities, damages, losses, or expenses arising from improper documentation, shipment of prohibited goods, hazardous materials, or non-compliance with any applicable laws.

8. Disclaimer of Warranties

Broker provides services on an “as-is” basis and makes no warranties, express or implied, regarding transit times, condition of goods upon arrival, or carrier performance.

9. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising shall be subject to the exclusive jurisdiction of the courts located in San Bernardino County, California, unless otherwise agreed in writing.

10. Modifications

Broker reserves the right to modify these Terms and Conditions at any time without prior notice. The version in effect at the time a shipment is tendered will apply.

11. Severability & Waiver

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect. A waiver of any breach shall not constitute a waiver of any future breach or default.
